ListedKit Partner Program Terms

1. Program Overview

The ListedKit Partner Program ("Program") allows approved participants ("Partners") to earn commissions by referring new customers to ListedKit. The Program is managed through our affiliate platform, Tolt, accessible at listedkit.tolt.io.

Eligibility

Applicants must have an audience relevant to real estate. This includes social media followers, email subscribers, blog readers, training program students, or brokerage contacts. There is no minimum audience size. All applications are manually reviewed.

How to Apply

Submit an application through the Tolt portal at listedkit.tolt.io. Upon acceptance, you will receive a unique referral link and access to your partner dashboard. By applying, you agree to these terms.

2. Commission Terms

• Commission rate: 20% of all credit purchases made by referred customers.
• Earning window: 6 months from the referred customer's first payment. Purchases made after this window do not earn commissions.
• Qualifying purchases: Any credit pack purchase, including single credits, bulk packs, and rebuys within the earning window.
• Payout frequency: NET-30. Payouts are generated 30 days after the end of each month for the previous month.
• Minimum payout: $25. Balances below $25 carry over to the following month.
• Payout methods: PayPal or bank transfer, configured in your Tolt dashboard.

3. Referred Customer Discount

Customers who sign up through a partner's referral link receive 10% off their first credit bundle purchase. This discount applies one time per referred customer and is automatically applied at checkout.

4. Attribution & Tracking

• Cookie duration: 90 days from the referral link click. If a visitor signs up within 90 days of clicking your link, the referral is attributed to you.
• Attribution model: Last-click attribution via Tolt.
• Self-referral prohibition: Partners may not use their own referral link to make purchases. Self-referrals are automatically detected and blocked.
• Tracking dashboard: Real-time click, conversion, and earnings data available at listedkit.tolt.io.

5. Refund & Clawback Policy

• Commissions are only payable on completed, non-refunded purchases.
• If a referred customer receives a refund before the commission has been paid, the commission is voided.
• If a refund occurs after the commission has already been paid to the Partner, the refunded commission amount will be deducted from the Partner's next payout.
• Partial refunds result in a proportional commission adjustment.
• Chargebacks and payment disputes are treated the same as refunds. The associated commission is deducted.
• Failed payments are void after 90 days. If a referred customer's payment fails and is not resolved within 90 days, the associated commission is permanently voided.

6. Prohibited Activities

Partners may not engage in the following activities:

• Bidding on "ListedKit" or related brand terms in paid advertising (PPC, display, social ads).
• Spam or unsolicited bulk messaging of any kind.
• Making misleading, false, or unsubstantiated claims about ListedKit's features, pricing, or capabilities.
• Posting on coupon or deal aggregator sites without prior written approval.
• Incentivizing signups with cash, gift cards, or rewards unrelated to ListedKit.
• Creating websites or content that could be confused with official ListedKit properties.

7. FTC Disclosure Requirements

Partners must comply with FTC guidelines regarding affiliate disclosures. This means clearly disclosing the affiliate relationship in all promotional content, including social media posts, blog articles, emails, podcast mentions, and videos.

8. Termination

Either party may terminate the partnership at any time for any reason. Partners can simply stop promoting. No formal notice is required.

ListedKit may terminate a Partner's participation immediately for:

• Violation of these terms or any prohibited activity.
• Fraudulent activity or referral manipulation.
• Extended inactivity (no referrals for 12+ months).

Upon termination, any accrued commissions above the $25 minimum payout threshold will be paid in the next scheduled payout cycle. Commissions below the minimum threshold are forfeited.

9. Modifications

ListedKit may update these terms at any time. Partners will be notified of material changes via email at least 30 days before changes take effect. Continued participation in the Program after the effective date constitutes acceptance of the updated terms.

10. Limitation of Liability

ListedKit provides the Partner Program "as is" without warranties of any kind. ListedKit's total liability to any Partner under these terms shall not exceed the total commissions paid to that Partner in the 12 months preceding the claim.

Partners agree to indemnify and hold harmless ListedKit, its officers, employees, and agents from any claims, damages, or expenses arising from the Partner's promotional activities or violation of these terms.

These terms are governed by the laws of the State of Delaware.
